Incyte Expands Genesis AI Drug Discovery Partnership in Deal Worth Over $1 Billion

Incyte and Genesis Molecular AI have expanded their collaboration focused on applying artificial intelligence to drug discovery, with the revised agreement including $120 million in upfront consideration and the potential for more than $1 billion in milestone payments tied to the first five targets.

The updated arrangement builds on an initial partnership announced in February 2025. That earlier deal included a $30 million upfront payment and established joint work on two drug targets, while also giving Incyte the option to nominate a third target for an additional fee. Under the expanded agreement, the companies will now work on at least five additional targets selected by Incyte, with options to add more over time.

As part of the new terms, Incyte is providing Genesis with an $80 million upfront cash payment and making a $40 million equity investment in the company. Genesis may also receive up to $232 million in milestone payments for each program if specified development, regulatory and commercial objectives are achieved. According to the companies, total payments could rise by several billion dollars if additional targets are added and milestone requirements are met.

Genesis will also be eligible for royalties on any approved products developed through the collaboration. Incyte will retain exclusive rights to develop and commercialize products resulting from the partnership.

The companies stated that the expanded collaboration is intended to support large-scale foundation model training using proprietary experimental data generated by Incyte. Under the agreement, Incyte will share data with Genesis to improve the capabilities of the GEMS platform, Genesis’ AI system used in molecular discovery. Incyte will additionally provide ongoing research funding to support AI model training and computing workloads.

Genesis said its GEMS platform combines generative and predictive AI models to assist chemists in designing and evaluating potential drug candidates. The system includes Pearl, the company’s 3D structure prediction technology, and foundation models for protein-ligand structure and property prediction.

“This expanded collaboration reflects the strong results from our initial programs and Incyte’s commitment to applying advanced technologies to enhance our discovery engine and accelerate the development of differentiated small molecule medicines,” said Pablo J. Cagnoni, M.D., President of Incyte and Global Head of Research and Development.

Genesis founder and Chief Executive Officer Evan Feinberg said the partnership combines Genesis’ AI capabilities with Incyte’s ability to rapidly generate experimental data. He added that proprietary data plays a key role in advancing molecular AI systems and said the collaboration is designed to support large-scale AI-enabled design-make-test cycles.

The expanded agreement follows a series of AI-related partnerships across the pharmaceutical industry. One day before announcing the updated Genesis collaboration, Incyte disclosed a separate agreement with Edison Scientific to deploy an AI scientist across its research and development operations.

Other pharmaceutical companies have also recently announced AI collaborations. Bristol Myers Squibb entered into an agreement with Anthropic to use Claude in drug discovery, development, and delivery. Anthropic previously cited work with Genmab, Novo Nordisk, and Sanofi related to its life sciences initiative. Novo Nordisk and Sanofi have also signed agreements with OpenAI, while Merck & Co. recently partnered with Google.

Genesis, which raised $200 million in 2023, previously entered into a partnership with Gilead Sciences in 2024. The company has since emerged as a participant in the rapidly emerging AI drug discovery space.
